Prospectus, Statement in lieu of Prospectus, and Underwriting contracts
Public companies can raise money by offering their securities to public. Therefore, they are required to issue prospectus or statement in lieu of prospectus before making public offering. The related provisions are contained in the Companies Act, 2017, the Securities Act, 2015, and Public Offering Regulations, 2017.
Underwriting is an arangement entered into by a company for the sale of its securities. It may be done in various ways, depending upon the needs and werth of the company.
